1. Acceptance of Terms

By accessing, browsing, or using the {YourPlatform} application ("Platform"), including its website, interfaces, smart contracts, and any related services, you ("User", "you") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must immediately stop using the Platform.

These Terms constitute a legally binding agreement between you and {YourEntity Ltd.} ("Company", "we", "us", "our"). Your continued use of the Platform after any modifications to these Terms constitutes acceptance of those modifications.

By connecting your cryptocurrency wallet or using any other supported authentication method, you expressly consent to these Terms and confirm that you are authorized to use the wallet address provided.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
• Have the full legal capacity and authority to enter into these Terms.
• Not be a resident of, located in, or a citizen of any jurisdiction where the use of the Platform or cross-chain swap services would be prohibited or restricted by applicable law, regulation, or sanctions program.
• Not be listed on, or owned or controlled by any person or entity listed on, any sanctions or restricted parties list maintained by the United States (OFAC), European Union, United Kingdom, or United Nations.
• Not use the Platform for any unlawful purpose, including but not limited to money laundering, terrorist financing, sanctions evasion, tax evasion, or fraud.

We reserve the right to refuse service, restrict access, or terminate accounts at our sole discretion if we reasonably suspect any eligibility requirement is not met.

3. Platform Description

{YourPlatform} is a cross-chain decentralized exchange (DEX) aggregator that enables users to swap digital assets across multiple blockchain networks. The Platform aggregates liquidity and routing from various third-party cross-chain protocols and bridge providers.

The number of supported blockchain networks and tokens may change without prior notice as integrated providers add or deprecate support for specific networks.

The Platform operates by sourcing optimal swap quotes from integrated providers and generating transactions for user execution. The Platform does not custody, control, or hold user funds at any time.

Certain proprietary smart contracts may be under development or in testing stages and may not be active in all releases. The specific execution method for each swap depends on the route and provider selected.

4. Accounts & Authentication

The Platform uses wallet-based authentication. No traditional username or password accounts are created. Your blockchain wallet address serves as your unique identifier on the Platform.

You are solely responsible for:

• Maintaining the security and confidentiality of your wallet private keys, seed phrases, and any associated credentials.
• All activity that occurs through your connected wallet on the Platform, whether authorized by you or not.
• Ensuring the security and integrity of the hardware and software you use to interact with the Platform.

We will never ask for your private keys or seed phrase. Any such request is fraudulent and not associated with us.

User profiles, referral data, transaction history, and preferences are stored in our systems and associated with your wallet address. You may request deletion of your profile data in accordance with our Privacy Policy.

5. Swap & Aggregation Services

The Platform provides a user interface to discover and execute cross-chain token swaps. When you initiate a swap:

• The Platform queries multiple integrated providers to fetch competitive quotes for your requested swap route.
• Each quote is assigned a unique identifier to ensure freshness, prevent replay, and maintain integrity.
• You are presented with quote details including estimated output, fees, estimated execution time, and the selected route. You must review and confirm before execution.
• Upon confirmation, the Platform generates a transaction payload via the selected provider. This payload is submitted to the blockchain through your connected wallet for your signature and broadcast.
• Once a transaction is signed and broadcast to the blockchain, it is irreversible. The Platform cannot cancel, reverse, or modify any on-chain transaction.

Quotes are indicative and subject to change due to market volatility, liquidity fluctuations, network congestion, and slippage. The final executed amount may differ from the quoted amount. The Platform does not guarantee any specific output amount, exchange rate, or execution time.

The Platform aggregates routes and does not directly execute swaps. All swaps are processed by the respective third-party protocol's smart contracts and infrastructure. The Platform is not liable for failures, delays, or losses resulting from provider infrastructure, smart contract bugs, or network-level issues.

6. Cross-Chain Transactions

Cross-chain swaps involve transferring digital assets between different blockchain networks. You acknowledge and accept that:

• Cross-chain transactions are inherently more complex and carry higher risk than single-chain transactions, including risks of bridge failures, relayer downtime, consensus delays, and messaging errors.
• Transaction completion times vary significantly depending on source and destination chain, network congestion, block finality requirements, and the specific provider used. Completion may take from seconds to several hours.
• In rare cases, cross-chain transactions may become stuck or fail mid-execution. While the Platform displays transaction status, resolution of stuck transactions may depend on the underlying provider's recovery mechanisms, which are outside our control.
• There is an inherent risk of partial or total loss of funds in cross-chain transactions due to smart contract vulnerabilities, bridge exploits, liquidity shortages, or oracle failures in the underlying protocols.

You agree that the Platform is not responsible for the performance, security, uptime, or solvency of any third-party protocol integrated into the Platform.

7. Fees & Referral Program

7.1 Platform Fees

The Platform may charge service fees on swaps, which are transparently displayed in the quote details before you confirm a transaction. Fees may vary by route, provider, and transaction volume. We reserve the right to modify fee structures at any time with reasonable notice.

In addition to Platform fees, you are responsible for all blockchain network gas fees, provider protocol fees, and any other costs associated with executing on-chain transactions.

7.2 Referral & Affiliate Program

The Platform offers a referral program that allows users to earn commissions by referring new users. The referral program is subject to the following terms:

• Referral links are generated through the Platform and tied to your wallet address.
• Commission rates, tiers, and calculation methods are determined at our sole discretion and may be modified at any time.
• Referral rewards are tracked and distributed according to the program rules in effect at the time of each qualifying transaction.
• We reserve the right to suspend or terminate referral accounts, withhold commissions, and reclaim improperly earned rewards in cases of self-referral, fraudulent activity, manipulation of the referral system, or violation of these Terms.
• You are solely responsible for reporting and paying any taxes applicable to referral income in your jurisdiction.

8. Risk Disclosures

Using the Platform and engaging in cross-chain digital asset transactions involves significant risks, including but not limited to:

• Market Risk: Digital asset prices are highly volatile and can change rapidly. You may lose some or all of the value of your assets.
• Smart Contract Risk: The Platform relies on third-party smart contracts that may contain undiscovered bugs, vulnerabilities, or exploits. Certain proprietary smart contracts may be under development or in testing stages.
• Bridge & Protocol Risk: Cross-chain bridges and protocols have historically been targets of significant exploits resulting in substantial fund losses.
• Liquidity Risk: Swap routes may experience insufficient liquidity, leading to high slippage, partial fills, or failed transactions.
• Regulatory Risk: The regulatory landscape for digital assets and cross-chain services is evolving. Changes in law or regulation may adversely affect the Platform's availability or your ability to use it.
• Technology Risk: Software bugs, server downtime, service failures, or data inconsistencies may temporarily disrupt service or display inaccurate information.
• Network Risk: Blockchain network congestion, forks, reorganizations, or outages may delay, alter, or prevent transaction execution.
• Non-Custodial Risk: The Platform does not custody your funds. You bear full responsibility for the security of your wallets and private keys. Lost or compromised keys cannot be recovered by us.

You acknowledge that you have sufficient knowledge and experience to understand these risks and that you are using the Platform at your own risk and discretion.

9. Intellectual Property

All content, design, code, trademarks, logos, user interface elements, and proprietary technology on the Platform (collectively, "Platform IP") are owned by or licensed to the Company and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any Platform IP without our prior written consent.

Third-party protocol names, logos, and trademarks referenced on the Platform remain the property of their respective owners and are used for identification purposes only.

10. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal activity, including but not limited to money laundering, terrorist financing, sanctions evasion, fraud, or tax evasion.
• Engage in market manipulation, wash trading, front-running, sandwich attacks, or any form of deceptive trading practices on or through the Platform.
• Attempt to exploit, attack, or probe vulnerabilities in the Platform, its infrastructure, or any integrated third-party protocol (outside of authorized bug bounty programs).
• Interfere with the Platform's normal operation, overload servers, conduct denial-of-service attacks, or use automated tools (bots, scrapers) without authorization.
• Impersonate any person or entity, misrepresent your identity or affiliation, or create accounts under false pretenses.
• Circumvent, disable, or interfere with any security, access control, rate-limiting, or geo-restriction measures implemented on the Platform.
• Abuse the referral system through self-referrals, fake accounts, or any scheme designed to artificially inflate referral metrics or commissions.

Violation of this section may result in immediate termination of access, forfeiture of referral commissions, and referral to law enforcement where appropriate.

11. Privacy & Data

We collect and process certain data necessary for the Platform's operation, including wallet addresses, transaction data, referral relationships, and user preferences.

Token and chain metadata is sourced from third-party data providers. Quote-related data is temporarily cached to ensure freshness and integrity.

We do not sell your personal data to third parties. Data processing is conducted in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

Blockchain transactions are inherently public and permanently recorded on-chain. We have no ability to delete, modify, or conceal any on-chain transaction data.

12. Disclaimers & Limitation of Liability

12.1 Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY QUOTES, PRICES, DATA, OR INFORMATION PROVIDED THROUGH THE PLATFORM.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your breach of these Terms or any applicable law or regulation.
• Your use of the Platform and any transactions executed through it.
• Any unauthorized access to or use of your wallet or account resulting from your failure to maintain adequate security.
• Any content, data, or information you provide through the Platform.
• Any claims by third parties arising from your actions on or through the Platform.

14. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Material changes will be communicated through the Platform interface, and the "Last Updated" date at the top of this page will be revised accordingly.

Your continued use of the Platform following any modification constitutes acceptance of the revised Terms. If you disagree with any changes, you must discontinue use of the Platform immediately.

We recommend reviewing these Terms periodically.

15. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, suspected fraudulent or illegal activity, prolonged inactivity, or regulatory requirements.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.

Termination of your access does not affect any pending or completed on-chain transactions, which remain immutable on the respective blockchains.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of {[Jurisdiction]}, without regard to its conflict of laws provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days following written notice of the dispute.

If the dispute is not resolved through negotiation, it shall be finally settled by binding arbitration administered in accordance with the rules of {[Arbitration Body]}, with the seat of arbitration in {[City, Country]}. The arbitration shall be conducted in English. The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
